Can a Salaried Person Start a Private Limited Company in India?
A lot of founders delay company registration because they already have a job. The usual worry is simple: can a salaried person start a Private Limited Company in India, or does the employer, or the Companies Act, block it?
The short answer is yes. Being on a salary does not stop you from becoming a shareholder or a director. What can stop you is your employment contract, a missing second director, or a registered office that will not pass MCA scrutiny.
This guide is for working professionals who want to incorporate before they resign. It is not a click-by-click MCA filing manual. The right structure depends on your job contract and who the second subscriber will be.
What the law actually allows
The Companies Act, 2013 does not say a director must be unemployed, a full-time founder, or a chartered accountant. A Private Limited Company needs:
- At least two shareholders and two directors. One person can be both.
- At least one director resident in India (present in India for 182 days or more in the financial year).
- A registered office address in India, with proof the company can use it.
- Digital signatures and director identification (DIN) through the SPICe+ route.
There is no minimum paid-up capital anymore. You do not need ₹1 lakh sitting in a bank before you apply. Government fees and professional fees are separate from capital.
A salaried person can hold 99% of the shares and still keep the job, as long as the employment contract allows outside business interests.
The check that matters more than MCA: your job contract
MCA will not ask for your offer letter. Your employer might.
Before you file, read these clauses:
- Outside employment or business. Some contracts ban any directorship. Others only ban a competing business.
- Conflict of interest. A company in the same industry as your employer is the usual problem, not the company form itself.
- Use of employer time, laptop, or client data. Do not run the new company from office systems.
- Notice period and non-compete. A non-compete after resignation is a different question from whether you can incorporate while employed.
If the contract is silent, incorporation is usually fine. If it needs written permission, get that email before the Certificate of Incorporation, not after HR finds the company on the MCA site.
Who can be the second director?
This is where most salaried founders get stuck. You cannot incorporate a Private Limited Company alone. An OPC is the one-person route. A Private Limited Company needs a second person.
Common, workable choices:
- Spouse, parent, or sibling who has a PAN and Aadhaar
- A co-founder who will actually work in the business
- A trusted professional only if they agree to the duties of a director, not as a name on paper
Do not add someone who will not sign DSC forms, or who does not understand they can be responsible for filings. Removing a director later is slower than choosing the right person now.
If you truly have no second person, look at an OPC registration first, and convert later. For a comparison of structures, read LLP vs Private Limited Company.
Can you use your home as the registered office?
Yes. A residential address is accepted as a registered office if you can prove the company may use it.
Typical papers:
- Latest electricity bill, or another utility bill, in the owner’s name
- No-objection from the owner if the bill is not in your name
- Rent agreement if you are a tenant, plus the owner’s NOC
A virtual office can work for GST and MCA in some cities, but only if the provider gives a real, verifiable address pack. A random address with no one to receive notices is how filings get marked defective.
If you are in West Delhi, the same rules apply in Paschim Vihar and Janakpuri as in any other state. The address must be real. The company does not have to start trading from that room on day one.
Tax points salaried founders miss
Incorporation does not change your salary. Your employer still deducts TDS on salary. The company is a separate taxpayer.
Keep these separate from day one:
- Company bank account, after the Certificate of Incorporation and PAN
- Company expenses, with invoices in the company name
- Your salary income, which stays in your personal return
- Director remuneration or salary from the company, only after the company actually pays it and deducts TDS where required
Do not pay company costs from your salary account and expect a clean book later. And do not raise GST invoices before the company has a GSTIN, if GST applies.
GST rate rationalisation is a separate issue. The 12% and 28% slabs are being phased out toward 5% and 18%, with a 40% demerit rate on luxury and sin goods. That affects what the company charges later. It does not block registration.
What you should not do while still employed
- Do not use the employer’s brand, clients, or code in the new company.
- Do not sign up a co-director who will refuse KYC at filing time.
- Do not pick a name that copies a registered trademark. A rejected name sends the whole SPICe+ file back.
- Do not assume “side business” needs no second person. That is an OPC fact, not a Private Limited fact.
Documents most files need are listed in Documents required for Private Limited Company registration. Cost ranges are in Private Limited Company registration cost in India.
A practical order if you still have a job
- Read the employment contract, or ask HR in writing if outside directorship is allowed.
- Choose the second director and confirm both PANs and address proofs.
- Lock the registered office papers, including NOC if needed.
- Shortlist two company names and check trademark classes before you fall in love with one.
- File SPICe+ only when DSC, address, and both subscribers are ready.
Most complete files finish in about 7–15 working days. A missing NOC or a second director who will not complete video KYC is what stretches that, not the fact that you are salaried.
FAQs
Can a private-sector employee be a director?
Yes, unless the appointment letter or HR policy forbids it. The Companies Act does not ban salaried directors.
Can a government employee start a Private Limited Company?
Often no, or only with permission. Government and PSU service rules are stricter than private jobs. Check the service rules before you apply for a DIN.
Do I have to resign before incorporation?
No. Many founders incorporate first, open the bank account, and resign only when the company can pay them.
Will my employer be notified by MCA?
MCA does not send your employer a letter. The company is still a public record. Anyone can search the director’s name.
Can I hold 100% shares?
Not in a Private Limited Company. You need at least two shareholders. For a single owner, consider an OPC.
Does my salary have to go into the company?
No. Salary from your employer stays personal income. Only money the company earns, or pays you as director, belongs in the company records.

Conclusion
A salaried person can start a Private Limited Company in India. The blockers are usually the job contract, the second director, and the registered office, not the MCA portal.
